The Daiso name, the terms Daiso USA LLC, Daiso Holding USA Inc., the Daiso logo, and all related names, logos, product and service names, designs, and slogans used on the Website are trademarks or registered trademarks of Daiso USA LLC or its affiliates. You must not use such marks without the prior written permission of Daiso. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Use of Website

Harassment in any manner or form on the Website, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a Daiso employee, host, or representative, as well as other visitors on the Website, is prohibited. You may not use the Website for any purpose that is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable, or that may constitute or encourage a criminal offense, violate the rights of any party, or otherwise give rise to liability or violate any law. We are not responsible or liable to you or any third party for the content or accuracy of any Third-Party Content.

Daiso reserves the right, but has no obligation, to monitor, edit, or remove any Third-Party Content that Daiso determines, in its sole discretion, to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark, or other intellectual property right of another, or (d) otherwise objectionable or unacceptable.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Website:

·         To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm Daiso or users of the Website, or expose them to liability.

Additionally, you agree not to:

·         Use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.

·         Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.

Daiso may, at its sole discretion, make available on the Website an artificial intelligence (AI)-powered chatbot feature (the “Chatbot”). The Chatbot is designed to provide general informational content only, including information or suggestions related to products, pricing, availability, and other e-commerce-related topics. All Chatbot outputs are generated by artificial intelligence and are provided for general informational purposes only; they do not constitute legal, financial, tax, medical, or other professional advice, and you should not rely on them as a substitute for consultation with qualified professionals. Any product recommendations, pricing, or availability information provided by the Chatbot is for general reference only and may not reflect current information; in the event of any discrepancy between information provided by the Chatbot and information displayed elsewhere on the Website (including at checkout), the latter shall control. DAISO DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED ON THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVER THAT MAKES THE WEBSITE AVAILABLE ARE FREE OF VIRUSES, DESTRUCTIVE CODE, OR OTHER HARMFUL COMPONENTS. PART II: TERMS OF SALE

The following provisions will apply to purchases of products made through the Website once online sales functionality becomes available. Until such functionality is activated, these terms are provided for informational purposes and will become operative upon activation of online purchasing. When online sales are enabled, all purchases will be subject to the terms set forth in this Part II, in addition to the General Website Terms of Use set forth in Part I above, as well as other applicable terms on the Website, including but not limited to the Prop 65 Extended Information and the Return & Refund Policy (Final Sale Policy) (together with the Terms of Service, the “Terms of Sale”). Purchases Generally

Once online sales functionality is activated, all users of the Website will agree that any purchase of Daiso products utilizing the Website will be subject to the following terms and conditions and other applicable law.

All purchases through the Website or other transactions for the sale of goods, services, or information carried out through the Website, or resulting from visits made by you, will be governed by the Terms of Sale once such functionality is available. Additional terms and conditions may also apply to specific portions, services, or features of the Website. All such additional terms and conditions are hereby incorporated by this reference into the Terms of Sale.

Service Area

Daiso ships orders placed through the Website via UPS to addresses within the 48 contiguous United States only. Orders placed for delivery to Alaska, Hawaii, P.O. Box addresses, APO/FPO addresses, U.S. Territories, or international destinations are not eligible for fulfillment and will be cancelled. Daiso reserves the right to modify its service area, approved carriers, and shipping destinations at any time without prior notice. You acknowledge and agree that Daiso shall have no liability for any order that is cancelled due to an ineligible shipping address.

Shipping

Daiso will use commercially reasonable efforts to ship orders within approximately three (3) business days of order confirmation and to transfer such orders to the designated delivery partner. The estimated arrival date displayed at checkout is an estimate only and reflects the anticipated shipping timeline plus lead time information provided by the delivery partner; Daiso does not guarantee delivery by any particular date. For purposes of this section, “business days” means Monday through Friday, excluding U.S. federal holidays, with a daily cutoff of 5:00 p.m. Pacific Time. Daiso reserves the right to modify shipping timeframes, carriers, and delivery methods at any time without prior notice. You acknowledge and agree that Daiso shall not be liable for any delays in shipping or delivery caused by circumstances beyond Daiso’s reasonable control, including without limitation carrier delays, weather events, natural disasters, or supply chain disruptions.

Sales Tax

Sales tax will be calculated and charged on all orders as required by applicable law, based on the shipping address provided by you at checkout. Tax rates are determined by the zip code of the shipping destination and are subject to change. You are solely responsible for ensuring the accuracy of the shipping address you provide, and Daiso shall have no liability for any additional taxes, penalties, or fees resulting from an incorrect or incomplete address.

Prices

All prices displayed on the Website will be subject to change without prior notice.

Typographical Errors

In the event that a Daiso product is mistakenly listed at an incorrect price, Daiso reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. Daiso reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Daiso will issue a credit to your credit card account in the amount of the incorrect price.

Regarding Assorted Items

In your order screen, if (1) two or more different items are shown in one picture OR (2) “assorted” is written in the item name or description, the item’s color, design, and/or size will ship only as an assortment, and may have varying quantities of each variation. Some assorted merchandise may not include all colors or designs shown. Requests for specific variation(s) of assortments cannot be fulfilled. Thank you for your understanding.

Backordered Items

Due to high demand for some items, inventory may change daily. If we are unable to fulfill your order due to an out-of-stock item, you will be refunded for the missing item and the remainder of your order will be shipped out.

Product Liability Limitation

The limitation of liability set out in Part I above will not apply to liability resulting from Daiso’s gross negligence or willful misconduct or death or bodily injury caused by products you purchase through the Website.

PART III: GENERAL PROVISIONS

The following provisions apply to both Part I (General Website Terms of Use) and Part II (Terms of Sale), to the extent applicable.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE, THE WEBSITE, OR ANY PRODUCTS PURCHASED THROUGH THE WEBSITE (INCLUDING ANY CLAIM ARISING UNDER PART II RELATING TO PRODUCT QUALITY, PRODUCT DEFECTS, PRODUCT LIABILITY, OR ANY OTHER PRODUCT-RELATED MATTER) MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE CLAIM SOUNDS IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY.

Waiver and Severability

No waiver by Daiso of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Daiso to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

Entire Agreement

The Terms of Service and our Privacy Policy constitute the sole and entire agreement between you and Daiso USA LLC regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

Governing Law and Dispute Resolution

All matters relating to the Website and these Terms of Service, and any dispute, claim, or controversy arising therefrom or related thereto (including non-contractual disputes or claims, matters relating to breach, termination, or invalidity hereof, and claims arising under Part II relating to products purchased through the Website), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).

Informal Dispute Resolution. Before initiating any formal legal proceeding against Daiso, you agree to first contact Daiso in writing at legal@daiso-usa.com (or such other address as Daiso may designate) and provide a written description of your claim, including the specific facts giving rise to your claim, the relief you are seeking, and your contact information. Daiso will attempt to resolve the dispute informally by contacting you within thirty (30) days of receiving your notice. If the dispute is not resolved within sixty (60) days after Daiso’s receipt of your written notice, either party may proceed to formal legal proceedings as permitted under these Terms of Service. This informal dispute resolution process is a prerequisite to filing any lawsuit or other formal proceeding, and failure to comply with this requirement shall be grounds for dismissal of any such proceeding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information without first engaging in the informal dispute resolution process described herein.

Forum Selection. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in Orange County. Each party irrevocably consents to the personal jurisdiction and venue of such courts and waives any objection thereto.

CLASS ACTION AND JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DAISO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN THROUGH OTHER MEANS, BOTH YOU AND DAISO WAIVE ANY RIGHT TO A JURY TRIAL. IF A COURT OF COMPETENT JURISDICTION FINDS THE CLASS ACTION WAIVER IN THIS SECTION TO BE UNENFORCEABLE AS TO ANY CLAIM OR REQUEST FOR RELIEF, THEN THE PARTIES AGREE THAT SUCH CLAIM OR REQUEST FOR RELIEF SHALL BE SEVERED AND PROCEED INDEPENDENTLY OF ANY REMAINING CLAIMS. THIS CLASS ACTION WAIVER SHALL NOT APPLY TO THE EXTENT PROHIBITED BY LAW OR TO CLAIMS BROUGHT IN SMALL CLAIMS COURT WITHIN THE JURISDICTIONAL LIMITS OF SUCH COURT.

Term and Termination

These terms and conditions are applicable to you upon your accessing the Website and shall remain in effect until terminated. Daiso may, in its sole discretion, immediately suspend or terminate your access to all or any portion of the Website, without prior notice or liability, if you: (a) violate any provision of these Terms of Service, including the Prohibited Uses; (b) engage in conduct that is fraudulent, deceptive, or illegal, or that may expose Daiso, its affiliates, or any third party to liability; (c) infringe or misappropriate any intellectual property rights of Daiso or any third party; (d) violate any applicable law or regulation, or if Daiso is required by law or legal process to suspend or terminate your access; (e) violate the Privacy Policy or engage in any unauthorized collection, use, or disclosure of personal information obtained through the Website; (f) engage in any activity that disrupts, interferes with, or places an unreasonable burden on the Website or Daiso’s infrastructure; or (g) fail to pay any amounts owed to Daiso in connection with purchases made through the Website. Upon termination, all licenses and rights granted to you hereunder shall immediately terminate, you shall immediately cease all use of the Website, and Daiso may delete or deny access to any content, data, or information associated with your use; termination shall not limit any of Daiso’s other rights or remedies at law or in equity. The provisions relating to Copyright, Trademarks, Warranty Disclaimer, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and this survival clause shall survive the expiration or termination of these Terms of Service or your access to the Website for any reason.
